On June 22, 2006, an employee of Morgan Stanley filed a class action lawsuit in the United States District Court for the Northern District of California against the company for violations of Title VII of the 1964 Civil Rights Act, 42 U.S.C. § 2000e. On June 22, 2006, an employee of Morgan Stanley filed a class action lawsuit in the United States District Court for the Northern District of California against the company for violations of Title VII of the 1964 Civil Rights Act, 42 U.S.C. § 2000e. The complaint alleged systemic and patterned gender discrimination, contending that Morgan Stanley, in violation of Title VII of the 1964 Civil Rights Act, delegated all authority to distribute accounts, leads, referrals, partnership opportunities, walk-ins, call-ins, and other business opportunities to its "virtually all-white male" branch managers. Class members claimed that, because so many of a financial adviser's or broker's accounts are developed through that process, it creates "an unlawful adverse impact on women and minorities" when those leads are distributed disproportionately among white male financial advisors.

Plaintiffs sought a permanent injunction against the defendant from engaging in discriminatory practices, reinstatement for those who had been terminated, and back pay for all class members for money lost as a result of discrimination. Additionally, another employee, an African-American woman, filed suit against the company alleging both gender and race discrimination. She contended that she had lost accounts and business opportunities due to discriminatory practices within the company.

On February 7, 2008, the court (Judge Thelton E. Henderson) found that common questions of fact or law predominated over particular individual situations, and thus that class certification was appropriate. The class consisted of all African American and Latino workers who had been employed by Morgan Stanley between October 12, 2002 and December 3, 2007 -- a group totalling about 1300 employees. Jaffe v. Morgan Stanley, 2008 WL 346419 (N. D. Cal. 2008).

In the court-approved preliminary settlement agreement, Morgan Stanley agreed to enact programmatic relief with regard to communications, hiring, branch management, account distribution, development opportunities, and the complaint process. The settlement provides for diversity and inclusion programs and also mandates ongoing monitoring, analysis, and review by a diversity monitor. Morgan Stanley also had to pay $16 million towards a settlement fund, to be distributed to class members based on a formula. On average, class members will receive about $12,000 each.

The Court approved the settlement on October 22, 2008.

The U.S. District Court for the District of Columbia in November 2007 approved a nearly identical settlement for $46 million regarding female advisers' sex discrimination claims against Morgan Stanley. Augst-Johnson v. Morgan Stanley & Co., D.D.C., No. 06-1142, final approval granted 10/26/07.
