The dispute stemmed from the National Clean Investment Fund, a program under the Greenhouse Gas Reduction Fund, which Congress established through the Inflation Reduction Act of 2022. Climate United was selected as a grantee in April 2024, receiving $6.97 billion in funding to support clean energy projects across the United States, particularly in low-income, rural, and tribal communities. Under the terms of the grant, Climate United’s funds were held at Citibank, which served as a financial agent under an Account Control Agreement executed with the EPA.

On March 8, 2025, the Climate United Fund filed this lawsuit in the U.S. District Court for the District of Columbia against Citibank, the U.S. Environmental Protection Agency, and the EPA Administrator. Climate United sought injunctive and declaratory relief. The plaintiff brought claims for breach of contract, replevin, conversion, and violations of the Administrative Procedure Act (APA) and the Due Process Clause of the Fifth Amendment. The case was assigned to Judge Tanya S. Chutkan.

In the complaint filed on March 8, 2025, and amended March 17, Climate United alleged that Citibank breached the ACA and engaged in conversion by wrongfully withholding funds. Climate United further claimed that the EPA arbitrarily suspended the grant in violation of the APA, failed to comply with the Inflation Reduction Act, unlawfully de-obligated funds appropriated by Congress in violation of the Appropriations Clause, and deprived Climate United of a protected property interest without due process under the Fifth Amendment. Climate United sought an order requiring Citibank to release the frozen funds, an injunction preventing the EPA from interfering with disbursements, and a declaratory judgment confirming the unlawfulness of EPA’s actions. 

Climate United moved for a temporary restraining order (TRO) requiring Citibank to comply with the ACA and the EPA to stop impeding Citibank from fulfilling its contractual obligations on March 10, 2025. Citibank and the EPA opposed the TRO on merits and mootness grounds, arguing that Citibank acted lawfully under instructions from the federal government and that the grant had been terminated on March 11, 2025, ending Climate United’s right to request disbursement. 

On March 18, 2025, Judge Chutkan granted the TRO in part and denied it in part, enjoining the EPA and Citibank from giving effect to the EPA termination letter, from implementing the termination of Climate United's grants, and from moving or transferring the grant funds to any party other than the account holders. 775 F.Supp.3d 335.

On March 21, 2025, plaintiff filed a consolidated motion for a preliminary injunction (PI) seeking to enjoin the EPA from: (1) effectuating the March 11, 2025 Notice of Termination; (2) unlawfully suspending or terminating grant awards, including by issuing a Notice of Exclusive Control or limiting access to funds in accounts established for plaintiff's grants, including subgrantee accounts, except as permitted by the ACA and applicable law; and (3) directly or indirectly impeding Citibank from disbursing funds. The motion also sought to enjoin Citibank from violating its obligations under the ACA or transferring funds out of accounts established for plaintiff's grants.

Separately, on March 25, 2025, Judge Chutkan ordered that this case be consolidated with California Infrastructure and Economic Development Bank v. Citibank (1:25-cv-00820); Coalition for Green Capital v. Citibank, N.A. (1:25-cv-00735); and Power Forward Communities, Inc. v. Citibank (1:25-cv-00762). This case was designated as the lead case, and all further filings in this case were directed to be filed here. On April 15, this case was also consolidated with Climate Justice Fund v. Environmental Protection Agency (25-cv-00938-TSC) and Inclusiv, Inc., v. Environmental Protection Agency (25-cv-00948-TSC).

Judge Chutkan granted the preliminary injunction on April 15, enjoining defendants from effectuating the termination letter, terminating grant funds, transferring funds out of accounts, and ordering them to disburse all funds to the plaintiff. 2025 WL 1118430.

On April 15, defendants sought an emergency stay of the preliminary injunction, arguing that immediate disbursement (of approximately $625 million and up to $14 billion) would cause irreparable harm and make recovery of taxpayer funds impossible. Plaintiff opposed the motion, stating the government provided no new arguments or justification for a stay. The district court denied the motion the same day.

In the district court, plaintiff filed a motion to clarify the preliminary injunction order on April 17, which the court granted April 19. The court again clarified that defendant Citibank must disburse any funds properly incurred since the mid-February suspension of plaintiff's funds. 2025 WL 1569275.

Both the federal defendants and Citibank appealed the preliminary injunction to the U.S. Court of Appeals for the D.C. Circuit. The Court of Appeals administratively stayed the preliminary injunction order on April 16 to allow itself time to review the case and instructed the parties to file briefings on whether a longer stay pending the resolution of the appeal was necessary. A couple days later, the Court of Appeals froze the status quo by staying the portion of the preliminary injunction order requiring disbursement, while denying a stay with respect to the part of the order that required Citibank to hold the money and not return it to the government.

On June 6, 2025, the EPA filed a letter seeking clarification or extension of the stay to prevent irreversible disbursement of funds pending appeal. On June 9, the court denied a pro se motion to intervene, and on July 8, a rejected movant filed a pro se petition for certiorari with the U.S. Supreme Court.

On September 2, 2025, a divided D.C. Circuit panel, in an opinion by Judge Rao, found that the district court abused its discretion in issuing the preliminary injunction. The court concluded that plaintiff was unlikely to succeed on the merits because the constitutional claim was meritless and the regulatory and arbitrary-and-capricious claims were effectively contractual, falling within the exclusive jurisdiction of the Court of Federal Claims. The court also found the balance of equities favored the government given its oversight of billions in funds. Accordingly, the court vacated the injunction and remanded the case to the district court. 2025 WL 2502881.

The plaintiff filed a petition for rehearing en banc with the court of appeals on September 10, 2025. 

Separately, on October 6, 2025, the United States Supreme Court denied the petition for writ of certiorari filed on July 8. 

This case is ongoing.
