On January 21, 2025, the American Alliance for Equal Rights (AAER)—a legal nonprofit founded by Edward Blum, the founder of Students for Fair Admissions (SFFA)—filed a lawsuit in the U.S. District Court for the Northern District of Illinois against Illinois’ Attorney General, Department of Human Rights, and Secretary of State. Represented by the law firm Consovoy McCarthy, the plaintiffs argued that Illinois Senate Bill 2930 (SB 2930) violated the Equal Protection Clause under the Fourteenth Amendment by “pressur[ing] them to discriminate when choosing board members” and violated the First Amendment by compelling and regulating non-commercial speech. AAER alleged that two of its members—unnamed in the complaint—were regulated by SB 2930 and authorized AAER to represent them. For relief, the plaintiff sought a declaratory judgment that SB 2930 is unconstitutional; preliminary and permanent injunctive relief; and costs and attorneys’ fees. The case was assigned to District Judge Sharon Johnson Coleman and Magistrate Judge Heather K. McShain on the same day. 

On March 4, 2025, the US, represented by the DOJ, moved to intervene as a plaintiff in the lawsuit, arguing that SB 2930 encourages nonprofits to discriminate based on race in violation of the Equal Protection Clause. An acting U.S. Associate Attorney General stated, “[t]his intervention seeks to eliminate discrimination via DEI and ensure the Constitution’s guarantee of equal protection is enforced” (as reported here). The defendants did not oppose the motion, and the court granted it on March 11. A couple of days later (March 13), the US filed its intervenor complaint, alleging that SB 2930 violated the Equal Protection Clause. In its complaint, the US added the State of Illinois and the state's governor, JB Pritzker, as defendants. The US alleged that, in enacting SB 2930: "Illinois became the first state in the nation to require nonprofits to maintain 'aggregated demographic information of the corporation’s directors and officers, including race, ethnicity, gender, disability status, veteran status, sexual orientation, and gender identity' on their 'publicly available website for at least 3 years after it is posted.' See 805 Ill. Comp. Stat. § 105/114.15(a)."

On April 1, 2025, AAER filed a motion for a preliminary injunction (PI) and, on April 8, the US filed its own motion for a preliminary injunction (PI). 

On April 15, 2025, the defendants filed a motion to dismiss. The same day, the court set a deadline of May 6 for the defendants to respond and scheduled oral argument for the motion to dismiss and the motion for PI for May 23. 

On April 22, AAER filed an amended complaint to which the court ordered the defendants to respond by May 6. The amended complaint expanded the factual allegations and alleged SB 2930 risked public shaming.

On May 6, 2025, defendants filed a motion to dismiss plaintiffs' amended complaint for failure to state a claim and lack of subject matter jurisdiction. Plaintiff-intervenors filed an amended complaint the same day, adding factual allegations on legislative intent, third-party pressures, and discriminatory impact. It strengthened the equal protection claim by detailing concrete harms and asserting that SB 2930 failed strict scrutiny. It also sought both preliminary and permanent injunctive relief and included additional DOJ counsel. 

On May 20, defendants filed a motion to dismiss plaintiff-intervenors' amended complaint for failure to state a claim and lack of subject matter jurisdiction. 

This case is ongoing.

MEMORANDUM Opinion and Order: The Court (1) grants in part and denies in part Defendants' motion to dismiss American Alliance's Amended Complaint 68 ; (2) grants Intervenor-Defendants' motion to dismiss the United States' Amende d Complaint in Intervention 85 ; (3) denies Defendants' motion to strike 71 ; (4) denies American Alliance's motion for preliminary injunction 44 ; and (5) denies the United States' motion for preliminary injunction as moot 49 . T he Court gives American Alliance and the United States 14 days to amend.As a final note, the Court is disappointed in American Alliance and the United States' repeated insistence that time is of the utmost essence in adjudication of the motions for preliminary injunction because Members A and B face December 2025 reporting deadlines and are, purportedly, currently incurring costs to comply with SB 2930. On the contrary, so far as this Court is aware, the Illinois Department of Human Rights has yet to publish a standardized list of demographic classifications to be used by qualifying not-for-profit organizations. With no knowledge of the relevant classifications, no qualifying not-for-profit organization could reasonably be expected t o collect any demographic information at present or otherwise comply with SB 2930. Despite over 300 active civil and criminal cases on its docket, as well as several trials, this matter has required significant attention by the Court and her chambers.
