The City of Seattle contended that the Orders unlawfully imposed vague conditions on federal funding, thereby jeopardizing essential municipal services such as transportation, housing, and public safety by threatening to withhold funds based on policies promoting diversity, equity, and inclusion (DEI) or "gender ideology". 

On July 31, 2025, the City of Seattle filed this lawsuit in the U.S. District Court for the Western District of Washington against the President of the United States; the U.S. Attorney General; the U.S. Department of Justice (DOJ); the Office of Federal Contract Compliance Programs (OFCCP) and its Director; the Office of Management and Budget (OMB) and its Director; the U.S. Department of Transportation (DOT) and its Secretary; the Federal Transit Administration (FTA) and its Acting Administrator; the U.S. Department of Homeland Security (DHS) and its Secretary; the U.S. Department of Housing and Urban Development (HUD) and its Secretary; and Does 1-100.

Plaintiff alleged that Defendants' actions violated the Separation of Powers doctrine, the Spending Clause, the Fifth and Tenth Amendments to the U.S. Constitution, and the Administrative Procedure Act (APA). Plaintiff contended that the challenged Orders were unconstitutionally vague in violation of the Due Process Clause of the Fifth Amendment. Plaintiff further asserted that Defendants' actions were arbitrary and capricious, in excess of statutory authority, and contrary to constitutional right, power, privilege, or immunity, in violation of the APA. 

The City sought a declaratory judgment that the Orders were unlawful, an injunction barring their enforcement, and an award of costs and attorneys' fees. The case was assigned to U.S. Senior District Judge Barbara J. Rothstein.
