This is a case challenging a company’s lending and debt collection practices. 

SoLo Funds, Inc. is a financial tech company that operates a mobile-application based peer-to-peer marketplace through which consumers can obtain small-dollar, short-term loans. On May 17, 2024, the Consumer Financial Protection Bureau (CFPB) filed this lawsuit in the U.S. District Court for the Central District of California. The CFPB sued SoLo for violations of the Consumer Financial Protection Act of 2010 (CFPA) and the Fair Credit Reporting Act (FCRA). The CFPB alleged that SoLo misled borrowers with advertising and disclosures that falsely promoted no-interest loans when consumers were routinely subjected to fees that resulted in an excessive total cost of credit. It further alleged that SoLo illegally serviced and collected on loans that were void or uncollectible in numerous states, among other things. The CFPB sought a permanent injunction, monetary relief, civil money penalties, and costs against SoLo. The case was assigned to District Judge R. Gary Klausner.

On August 15, 2024, SoLo filed a motion to dismiss for failure to state a claim. SoLo argued that the CFPB lacked lawful funding because the Bureau was prosecuting the action with funds allegedly transferred in violation of the Dodd-Frank Act and the Appropriations Clause, and that the complaint failed to state claims under the CFPA and FCRA.

On August 20, 2024, the CFPB filed an amended complaint, strengthening its factual allegations with more details. 

On September 3, 2024, SoLo filed a motion to dismiss the amended complaint, renewing its earlier arguments that the CFPB lacked lawful funding and that the amended complaint failed to state claims under the CFPA and FCRA.

On October 17, 2024, the court denied SoLo’s motion to dismiss. Judge Klausner held that SoLo failed to persuade the court that the CFPB’s funding structure was unconstitutional, noting that SoLo could not point to any court that had dismissed a case on those grounds. The court also found that the CFPB’s pleadings were plausible and not conclusory. 2024 WL 4553110.

On February 3, 2025, the CFPB filed an emergency notice to inform the court of developments within the Bureau. The CFPB explained that after a change in presidential administration, the President removed the prior Director of the CFPB from his position and the Bureau’s counsel had been instructed not to make any filings or appearances in litigation except to seek a pause in proceedings. Later that day, the CFPB filed an ex parte motion to stay pending deadlines. 

On February 5, 2025, the court denied the CFPB’s ex parte motion to stay. Judge Klausner held that the CFPB failed to show good cause for a stay.

On February 21, 2025, the parties jointly stipulated that the case was voluntarily dismissed.
