On February 10, 2025, the Association of American Universities (AAU), American Council on Education (ACE), Association of Public and Land-Grant Universities (APLU), and thirteen universities (listed at the end of this summary) filed this lawsuit in the U.S. District Court for the District of Massachusetts against the Department of Health and Human Services (HHS), and the National Institutes of Health (NIH). The plaintiffs sought injunctive and declaratory relief, claiming that NIH violated the Administrative Procedure Act, the Further Consolidated Appropriations Act, the Public Health Service Act, the Appropriations Clause, and Congressional appropriation restrictions when it cut funding for research institutions.

The dispute arose from an NIH policy issued on February 7, 2025, under Notice Number NOT-OD-25-068, “Supplemental Guidance to the 2024 NIH Grant Policy Statement: Indirect Cost Rates,” which capped indirect cost rates for NIH research grants at 15%. Historically, indirect costs—covering essential research expenses such as laboratory maintenance, research compliance, and IT infrastructure—were negotiated individually between institutions and the federal government. The lawsuit contended that this policy shift would have catastrophic financial consequences for universities. Institutions like MIT, Johns Hopkins, the University of Chicago, and the University of California system—which receive billions in NIH funding—argued they would lose hundreds of millions in reimbursements annually. Smaller institutions warned that the change could force them to halt research programs entirely, eliminating jobs and cutting off funding for critical medical advancements.

The plaintiffs claimed that NIH’s unilateral decision violated the Administrative Procedure Act (APA) because it was contrary to law, arbitrary and capricious, in excess of statutory authority due to its retroactive effect, and noncompliant with required procedures. They also argued the decision violated the Appropriations Clause, the Public Health Service Act, and long-standing congressional appropriations restrictions, which had explicitly prohibited NIH from modifying indirect cost structures since 2018. They sought a declaratory judgment invalidating the Guidance, as well as a preliminary and permanent injunction prohibiting the implementation or enforcement of the Guidance.

The case was assigned to Judge Angel Kelley, who also presided over two similar cases challenging the Rate Change Notice: Commonwealth of Massachusetts v. National Institutes of Health and Association of American Medical Colleges v. National Institutes of Health. On Feb. 10, the Plaintiffs filed an emergency motion for a temporary restraining order, which Judge Angel Kelley denied as Moot on February 11 due to the TRO orders granted in the other cases having the same effect. The other TROs granted enjoined the Defendants from taking any steps to implement, apply, or enforce the Rate Change Notice until the Court issued a further order. After a hearing on February 21, 2025, the court extended the TRO pending a further ruling.

That ruling came on March 5, 2025, when Judge Kelly granted a preliminary injunction. 770 F.Supp.3d 277. Judge Kelly found that the policy change was illegal in multiple ways. First, Judge Kelly found that the Rate Change Notice violated the plain language of the regulations regarding the administration of indirect costs by failing to provide a "documented justification" for the change and by failing to comply with the step-by-step process mandated by the regulations. Second, Judge Kelly found that the Rate Change Notice violated the Section 224 Rider adopted by Congress in 2018. "Congress intended the rider to prevent the Administration from implementing the proposed 10% cap as violative of the provisions of the [regulations]." Third, the court found the Rate Change Notice was arbitrary and capricious under the APA, since its reasons were "both conclusory and fail[ed] to grapple with the necessary factors, facts, and pertinent aspects of the problem demanded by the change from the existing ICR negotiation process." Finally, the court found that the notice failed to follow notice-and-comment rulemaking as required by the APA and was impermissibly retroactive. For these reasons, the court found that the plaintiffs were likely to succeed on their claim that the Rate Change Notice was unlawful.

On April 4, the defendants filed an assented-to motion to convert the preliminary injunction into a permanent injunction and file a final judgment. They argued there were no additional facts or legal questions to consider. The Court granted the motion on the same day. 2025 WL 1063760.

On April 8, the defendants filed a notice of appeal in the U.S. Court of Appeals for the First Circuit. The appeal was argued on November 5, 2025. The appellate court issued its ruling on January 5, 2026, affirming the district court's exercise of subject matter jurisdiction and its conclusion that the NIH's attempt to impose the 15% indirect cost reimbursement rate violated the congressionally enacted appropriations rider and HHS regulations. As to jurisdiction, the appellate court cited the distinction between challenges to agency-wide policies, which are properly brought in district court, and challenges to withholding of contractually awarded funds resulting from those policies, which must be brought in the Court of Federal Claims. Here, it explained, the plaintiffs did not challenge any withholding of funds promised under grant agreements but rather agency-wide guidance that affected current and future grants, and, therefore, the lawsuit was properly in brought in the district court. As to the merits, the appellate court reasoned that Congress had made clear in the that NIH could not displace negotiated indirect cost reimbursement rates with a uniform rate, and that the Supplemental Guidance violated the congressionally enacted appropriations rider as well as HHS regulations. It therefore affirmed the injunction on enforcement of and vacatur of the Supplemental Guidance. 2026 WL 26059.
